Terms of Service

These Terms of Service ("Terms") govern your access to and use of the POS point-of-sale software and related services provided by POS Systems ("we", "us", or "our"). By creating an account, activating a license, or otherwise using the software, you agree to be bound by these Terms. If you do not agree, do not use the software.

1. The service

POS is an offline-first point-of-sale application for retail, pharmacy, grocery, and general shops. It runs locally on your device and connects periodically to our license and support services. We may update, add, or remove features at any time.

2. Eligibility and accounts

You must be at least 18 years old and able to form a binding contract to use the software. You are responsible for providing accurate account information and for keeping your password and recovery PIN confidential. You are responsible for all activity that occurs under your account and under any staff accounts you create.

3. Licensing and activation

Use of the software requires a valid license key issued by POS Systems. Activation binds the license to your device using a machine fingerprint, and the software re-validates the license periodically when online. A license is personal to you and your shop and may not be sold, sublicensed, shared, or transferred without our written consent.

We may suspend or revoke a license that has expired, was not paid for, was issued in error, or is being used in breach of these Terms. A revoked license is blocked on the next online check.

4. Fees and renewal

License fees, the subscription period, and renewal terms are those communicated to you at the time of purchase or renewal. Unless required by law, fees are non-refundable. We may change fees on a going-forward basis with reasonable notice.

5. Acceptable use

You agree not to:

  • use the software for any unlawful purpose or in violation of any applicable law or regulation;
  • copy, modify, reverse engineer, decompile, or attempt to extract the source code, except to the extent permitted by law;
  • circumvent, disable, or tamper with licensing, activation, or security mechanisms;
  • resell, rent, or commercially exploit the software without our authorization; or
  • interfere with or disrupt the integrity or performance of the services.

6. Your data and backups

Your business data — including sales, customers, products, and purchases — is stored locally in a database on your device. You are solely responsible for maintaining backups of your data. We are not responsible for any loss of data resulting from device failure, deletion, corruption, or your failure to keep backups. Our handling of the limited information we do receive is described in our Privacy Policy.

7. Intellectual property

The software, including all related intellectual property, is and remains the property of POS Systems and its licensors. Subject to these Terms and a valid license, we grant you a limited, non-exclusive, non-transferable, revocable right to use the software for your own business operations. All rights not expressly granted are reserved.

8. Connectivity and third parties

Certain features — including license activation and re-validation, password reset by email, and support — require an internet connection and may rely on third-party providers. We are not responsible for failures, delays, or charges arising from your internet service or from third-party services outside our control.

9. Disclaimer of warranties

The software is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the software will be uninterrupted, error-free, or secure.

10. Limitation of liability

To the maximum extent permitted by law, POS Systems will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the software. Our total liability for any claim relating to the software will not exceed the amount you paid for the license during the twelve (12) months preceding the claim.

11. Suspension and termination

We may suspend or terminate your access if you breach these Terms or if your license expires or is revoked. On termination, your right to use the software ends. Sections that by their nature should survive termination (including intellectual property, disclaimers, and limitation of liability) will continue to apply.

12. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the "last updated" date shown above. Your continued use of the software after changes take effect constitutes acceptance of the revised Terms.

13. Governing law

These Terms are governed by the laws of Pakistan, without regard to its conflict-of-laws rules. The courts located in Pakistan will have exclusive jurisdiction over any dispute arising out of or relating to these Terms.
